As further disclosed on individual offering pages, the numbers of shares represent the percentage interest in the asset. For ease of reference, a percentage interest of 1% equals 1,000 shares. In addition, the base share price is calculated by dividing the Current Equity value (i.e. the original equity invested in the deal and subtracting any capital returns, including from any sales or refinances) by 100,000. The share price is then subsequently set by the market through bids and asks of registered users. The purchase and sale of non-whole shares are not permitted.

All secondary trading of shares on the platform is conducted pursuant to Section 4(a)1, Section 4(a)(2), and Section “4(a)1(1/2)” of the U.S. Securities Act of 1933, as amended, and is open thereunder to accredited investors pursuant to US rules and regulations.
